1. Governance Overview

The Independent Music Performance Rights Association (IMPRA) operates under a strict framework of transparency and accountability. The organization is overseen by the Board of IMPRA and managed by the Chief Executive Officer (CEO), ensuring that the rights of both producers and performers are equitably protected.

2. Operational Chambers

To ensure fair representation across the music industry ecosystem, IMPRA is structured to include distinct representative bodies:

• Producer's Chamber: Representing the interests and rights of record labels and master rights owners.
• Performers Chamber: Representing the interests of recording artists, vocalists, and session musicians.

3. The Complaints and Dispute Resolution Committee

To maintain fairness and effective grievance management, IMPRA establishes the Complaints and Dispute Resolution Committee as needed. The Committee's mandate is to make recommendations directly to the Board of IMPRA, reporting through the CEO.

• Committee Composition: The Committee consists of a rotating Chairperson, one representative from the Producer's Chamber, one representative from the Performers Chamber, an Executive member or representative from the Enquiry Desk, and an Administration Legal member.
• Secretariat Support: The Chairperson, in consultation with the CEO, designates employees to assist with administrative and secretarial duties for the Committee.
• Meetings and Review: Meetings are convened frequently as determined by the Chairperson, with special meetings for emergencies. The Committee may annually evaluate its adequacy and recommend changes to the CEO and Board.

4. Executive Authority

The CEO is responsible for reviewing closed dispute files to identify and implement new procedures that prevent the re-occurrence of similar complaints. Any procedural updates are immediately communicated to all staff and added to the Written Procedures file to ensure continuous organizational improvement.
